1. Acceptance of Terms
By accessing or using RoomSpark (“the Platform”), including our website, web application, and related services operated by RoomSpark LLC (“we,” “us,” or “our”), you agree to these Terms of Service. If you do not agree, do not use the Platform.
2. Description of Service
RoomSpark provides a software service for hotels and similar properties to publish a digital guest hub: property information, Wi‑Fi details, amenities and hours, menus and policies, and guest requests. Hotel staff use authenticated accounts to configure the hub. End guests typically access a public guest page without creating a RoomSpark account.
3. Hotel Accounts & Guest Access
Authorized representatives of a property create and manage accounts. You are responsible for credential security and for all activity under your account. Information you publish for guests (including Wi‑Fi credentials, hours, and policies) must be accurate and lawful. Guests who use your public guest links are your customers; your relationship with them is governed by your own policies and applicable law.
4. Subscriptions & Billing
Paid plans, if offered, are billed according to the pricing presented at checkout or in your order. Fees may be processed by our payment partners (such as Stripe). Unless required by law, payments are non-refundable except as stated at purchase. We may change pricing with reasonable notice.
5. Content & Conduct
You are responsible for all content you upload or publish through the Platform (including menus, text, images, and contact data). You may not use the Platform for unlawful, infringing, deceptive, or harmful purposes. We may remove content or suspend access that violates these Terms or creates risk for other users.
6. Intellectual Property
RoomSpark LLC retains rights in the Platform, software, branding, and documentation. You retain rights in your property branding and content you supply. You grant us a limited license to host and display your content as needed to provide the service.
7. Limitation of Liability
To the maximum extent permitted by law, RoomSpark LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Platform or reliance on guest-facing content. Our total liability for any claim relating to the Platform shall not exceed the fees you paid to RoomSpark in the twelve months before the claim, or one hundred U.S. dollars, whichever is greater.
8. Indemnification
You agree to indemnify and hold harmless RoomSpark LLC from claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your guest communications, or your breach of these Terms.
9. Disclaimer of Warranties
The Platform is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted. We do not guarantee uninterrupted or error-free operation.
10. Termination
We may suspend or terminate access with or without notice for breach, risk, or operational reasons. You may stop using the Platform at any time. Provisions that should survive (including liability limits and indemnity) survive termination.
11. Governing Law
These Terms are governed by the laws of the United States and the State of Ohio, without regard to conflict of law rules. Disputes may be brought in the state or federal courts located in Ohio, unless otherwise required by law.
12. Changes
We may update these Terms by posting a revised version on this page. Continued use after changes become effective constitutes acceptance of the updated Terms.
